What happens after I submit my enrollment?
You get a same-day confirmation, usually within an hour or two. We verify your plan fit (sometimes a quick text exchange to confirm your gutter footage), collect the $149 enrollment to reserve your route slot, and lock in your seasonal cadence. Your first visit lands within 5 days of your first monthly autopay on Day 46. You can cancel anytime before Day 30 — no monthly charges, no penalty.
Why quarterly instead of twice a year?
Oklahoma weather doesn't take half the year off. Spring brings storm debris. Summer brings flying seed pods and bird nests. Fall brings the big leaf drop. Winter brings ice dam risk. Each season has its own threat — so we show up for each one. Four visits a year is the right amount, not a sales gimmick.
Do I really get two full cleanings included?
Yes. Spring and fall are full cleanings — the seasons when your gutters actually fill up. Summer and winter are inspection visits with debris blow-out when needed. You never pay extra for the cleanings on the Downspout and Downspout+ plans.
What if I want to cancel?
You have until Day 30 to cancel with no further obligation — no autopay will have been charged. After Day 30, exit by paying 60% of your remaining monthly balance. After Year 1, cancel anytime with 30 days notice, no penalty.
Why is two-story cleaning priced separately?
Two-story cleaning involves real risk — height, ladders, liability. We price it separately so you're not overpaying for what you may not need, and so we can quote it based on actual conditions found at inspection.
What if you find something wrong with my gutters?
We document it, tell you what we found, and explain what it means. Repair work outside routine scope is quoted separately — no pressure, no surprise charges. You decide what to do next.

Terms and Conditions
Downspout+ Quarterly Gutter Maintenance Membership — A Program of NDN Gutter LLC
Effective: May 26, 2026 · v6.0
1. Parties
These Terms and Conditions ("Terms") govern the Downspout+ gutter maintenance membership program ("Program") offered by NDN Gutter LLC ("Company"), a limited liability company organized under the laws of the State of Oklahoma, with its principal place of business at 701 N 11th, Henryetta, OK 74437.
"Member" refers to any individual who enrolls in the Program by executing a Downspout+ Enrollment Agreement. These Terms are incorporated by reference into that Enrollment Agreement and are binding upon both parties from the date of enrollment.
2. Scope of Services
The Program includes the following services under the Downspout and Downspout+ plans:
Four (4) scheduled gutter and downspout visits per calendar year, structured as: spring cleaning & inspection, summer inspection, fall cleaning & inspection, winter inspection
Two (2) full gutter cleanings per year (spring and fall) included in the monthly rate
Two (2) inspection visits per year (summer and winter), including debris blow-out when warranted by Company's professional assessment
Dated photographic documentation of gutter condition delivered to Member following each visit
Written condition summary following each visit
Visit timing falls within seasonal windows: spring (March–May), summer (June–August), fall (September–November), and winter (December–February). Company will schedule each visit within its assigned seasonal window based on weather, route efficiency, and crew availability.
Downspout+ Extra Plan
The Downspout+ Extra plan ($69/mo) covers two-story homes and includes four (4) inspection visits per year with photo documentation. Cleaning services for two-story homes are not included in the monthly rate and are quoted and invoiced separately as an optional add-on.
Plan Reclassification
If Member's actual gutter footage, as assessed during the first visit, differs materially from the plan selected at enrollment, Company may notify Member of a recommended plan adjustment. Member will have seven (7) days to accept the adjustment or cancel under the cancellation terms in Section 5.
3. Excluded Services
The following are not included in the Program and are not covered under the monthly membership rate:
Gutter repair, replacement, or structural modification
Emergency or same-day service calls
Cleaning services for two-story homes (Downspout+ Extra plan)
Storm response or unscheduled property visits
Roof inspection or repair of any kind
Fascia, soffit, or structural wood repair
Pest removal or treatment
These services may be quoted separately by Company upon Member's request. This Program is not a warranty, insurance product, or guarantee against water damage or property damage of any kind.
4. Fees and Billing
Enrollment Fee
A one-time, non-refundable enrollment fee of $149.00 is due at the time of enrollment by cash, check, or card. The enrollment fee covers administrative setup, route slot reservation, and Member's account activation. The enrollment fee is non-refundable under all circumstances and does not include any scheduled service visit.

$49/mo — Single-story, up to 200 linear feet
Downspout+
$89/mo — Single-story, 201–400 linear feet
Downspout+ Extra
$69/mo — Two-story, inspection and documentation
Monthly autopay begins on Day 46 following enrollment. Member authorizes Company to charge the selected plan rate to the payment method on file each month on or around the same calendar day. Member is responsible for keeping payment information current.
First Scheduled Visit
Member's first scheduled service visit is performed within five (5) business days following the first successful monthly autopay charge (typically between Day 46 and Day 51 following enrollment). Company will contact Member at least 48 hours in advance of the first visit to confirm access and timing.
If the first monthly autopay charge fails, Company will not perform the first visit until payment is successfully processed. Company will reschedule the first visit within five (5) business days of successful payment.
Failed Payments
Failed autopay charges may result in a brief hold on scheduled service until resolved. Company will attempt to contact Member to update payment information. Service resumes within five (5) business days following successful payment.
5. Cancellation and Early Termination
Cancel Before Day 30
Member may cancel at any time before Day 30 following enrollment with no further obligation. No autopay charge will have been processed and no service visit will have occurred. The $149.00 enrollment fee is non-refundable.
Early Termination After Day 30 (During Initial 12-Month Term)
If Member cancels after Day 30 and prior to the end of the 12-month initial term, Member owes an early termination fee equal to 60% of the remaining monthly balance owed through the end of the initial term.
Example: A member on the $49/mo plan who cancels at Month 6 has 6 months remaining ($294.00). The early termination fee is $176.40 (60% of $294.00).
After the Initial 12-Month Term
Following the initial term, the membership automatically converts to month-to-month. Member may cancel at any time with thirty (30) days written notice. No buyout or penalty applies.
Cancellation by Company
Company may terminate this Agreement with thirty (30) days written notice. In the event of Company-initiated termination without cause, Company will refund the pro-rated portion of any prepaid monthly fees. Company may terminate immediately and without refund in the event of Member's material breach of this Agreement.
How to Cancel
To cancel, contact Company in writing by email at ndngutter@gmail.com or by mail at 701 N 11th, Henryetta, OK 74437. Cancellation is effective upon written confirmation from Company.
6. Scheduling and Property Access
Member agrees to provide Company with reasonable access to the exterior of the property for inspection and cleaning services. Company will contact Member at least 48 hours in advance of scheduled visits to confirm access and timing.
Member is responsible for ensuring that gates, fences, and other access points are accessible at the scheduled time. If Company is unable to access the property on two consecutive scheduled visits due to circumstances within Member's control, Company may treat the visit as completed for billing purposes and reschedule at Member's request at no additional charge.
Member is not required to be present during service visits. If Member requests to be present, Member assumes responsibility for coordinating availability with Company's scheduled visit window.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY OKLAHOMA LAW, COMPANY'S TOTAL LIABILITY TO MEMBER FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY MEMBER TO COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION WATER DAMAGE, STRUCTURAL DAMAGE, OR PROPERTY DAMAGE RESULTING FROM PRE-EXISTING CONDITIONS, EXTREME WEATHER EVENTS, OR CONDITIONS NOT IDENTIFIED DURING A SCHEDULED INSPECTION.
Nothing in this section limits liability for damage directly caused by Company's negligence during a service visit. Nothing in this Agreement waives any rights Member may have under the Oklahoma Consumer Protection Act (15 O.S. § 751 et seq.) or other applicable Oklahoma consumer protection statutes.
8. Indemnification
Member agrees to indemnify, defend, and hold harmless NDN Gutter LLC, its members, managers, employees, contractors, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Member's breach of this Agreement; (b) Member's misrepresentation of property characteristics at enrollment; or (c) pre-existing property conditions not caused by Company.
9. Dispute Resolution
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law provisions.
Informal Resolution
Before initiating any formal legal proceeding, both parties agree to attempt to resolve any dispute informally. The party with the grievance must provide written notice describing the dispute in reasonable detail. The receiving party has fourteen (14) days to respond with a proposed resolution.
Venue
If informal resolution fails, any legal action arising from this Agreement shall be brought exclusively in the state or federal courts located in Okmulgee County, Oklahoma. Both parties consent to personal jurisdiction in those courts.
10. General Provisions
Entire Agreement
The Downspout+ Enrollment Agreement and these Terms together constitute the entire agreement between the parties and supersede all prior agreements, representations, or understandings, whether written or oral.
Amendment
Company reserves the right to update these Terms at the time of annual renewal with thirty (30) days advance written notice to Member. Continued membership after that notice period constitutes acceptance of the updated Terms.
Severability
If any provision of these Terms is found to be invalid or unenforceable under Oklahoma law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Waiver
Failure by either party to enforce any provision of this Agreement shall not constitute a waiver of that party's right to enforce such provision in the future.
Assignment
Member may not assign this Agreement without Company's prior written consent. Company may assign this Agreement to a successor entity without Member's consent, provided such assignment does not materially reduce the services provided.
Force Majeure
Neither party shall be liable for delays or failures in performance resulting from causes beyond that party's reasonable control, including acts of God, extreme weather, natural disasters, governmental actions, or labor disputes. Company will reschedule affected visits as soon as reasonably practicable.
